Terms of Service

These terms govern your application to, and participation in, a noclue expedition. They sit alongside the Participation Agreement you sign; where the two cover the same ground, they’re intended to say the same thing. Please read them before you apply.
Who we are. noclue Ltd, a company registered in England and Wales (company no. [—], registered office [—]) — “noclue”, “we”, “us”.
1. The programme
noclue runs a week-long, invite-only expedition for founders. Applying does not guarantee a place — cohorts are small and selected by us, and we may decline any application at our discretion. The details of each cohort (dates, location, what’s included) are set out in the cohort information we publish or send you.
2. The application fee
When you apply, you pay a €150 application fee. This pays for us to assess your application. It is a fee to apply — it is not part of the trip fee and is never deducted from it.
If we can’t offer you a place, we refund it in full. Once we’ve made you an offer, it is not refundable, whether or not you go on to confirm.
3. Confirming your place & the trip fee
If we offer you a place, you confirm it by paying the full trip fee — a one-time charge for a single cohort (one trip). It is not a membership or a subscription, and it does not renew.
The trip fee covers lodging, meals, local transfers during the programme, and the programme itself. Travel to and from the meeting point is not included, and neither is anything described as excluded in your cohort information.
Your price is fixed.Once you’ve confirmed, we won’t increase the trip fee — the price you pay is the price you confirmed at.
4. Changing your mind, cancelling & transfers
If you cancel. You can cancel your confirmed place at any time before the trip starts by emailing us. Because we commit costs on your behalf ahead of the trip, a cancellation charge applies, based on how far ahead you cancel:

These charges reflect our reasonable estimate of the costs we can’t recover and the likelihood of re-filling your place at that point. We’ll always refund anything above the applicable charge within 14 days.
Exceptional circumstances.If unavoidable and extraordinary circumstances at or near the destination — the kind that significantly affect the trip or getting there safely — mean you cancel, you’re entitled to a full refund of the trip fee and no cancellation charge applies.
Transferring your place.If you can’t make it, you may transfer your place to another person who meets the entry criteria for the cohort, provided you give us reasonable notice before the start. We may charge the reasonable additional costs of making the transfer, and you and the person taking your place are jointly responsible for any balance and those costs.
Nothing here removes your legal rights.These terms don’t reduce any rights you have under the Package Travel and Linked Travel Arrangements Regulations 2018 or other applicable law.
5. If we change or cancel your trip
Minor changes.We may make small changes to the programme, schedule or arrangements — we’ll let you know if we do.
Significant changes.If before the start we have to significantly change one of the main features of your trip, or can’t provide something you specifically asked for and we accepted, we’ll tell you as soon as we can. You can then accept the change, or reject it and cancel for a full refund. Where the law provides for it, you may also be entitled to compensation.
If we cancel.We may cancel a cohort — for example if it doesn’t reach minimum numbers, or because of circumstances beyond our reasonable control. If we do, you’ll get a full refund of the trip fee within 14 days. Where a cancellation isn’t caused by circumstances beyond our control, you may also be entitled to compensation as the law provides. We’re not able to reimburse separately arranged costs like your flights, which is why we ask you not to book non-refundable travel until we confirm the cohort is going ahead.
6. Your responsibilities
You’re responsible for the accuracy of what you tell us, for keeping any login secure, and for not applying on someone’s behalf without their consent. You’re responsible for your own travel, valid documentation, and adequate personal, medical and travel insurance (including cover for the outdoor and mountain activities involved and for emergency medical repatriation). Some activities are outdoors and off-grid; you confirm you’re fit to take part and agree to follow reasonable safety guidance from us and our guides.
7. Conduct
The expedition depends on trust and goodwill. Treat other founders, hosts, guides and staff with respect. We may remove anyone whose behaviour endangers others or seriously disrupts or harms the group; where we do, we may withhold a refund to the extent that’s reasonable and proportionate. Be decent.
8. Your work
You keep all rights to whatever you build during the week. noclue claims no ownership, intellectual property or equity in your startup or work product. What participants share in confidence during the week stays confidential — that applies to us and our team as well as to you.
9. Our responsibility to you
We’re responsible for providing the programme, and the travel services in your package, with reasonable care and skill, and for the proper performance of the package as a whole. If something goes wrong during the trip, tell us at the time so we can put it right, and we’ll give reasonable assistance if you’re in difficulty.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that can’t be limited or excluded by law.Subject to that — and except for personal injury or loss caused by our intentional wrongdoing or negligence — our total liability to you is limited to three times the trip fee you paid. We can’t guarantee particular outcomes for your startup, and we’re not liable for those.
10. Complaints
If something isn’t right, tell us during the trip so we can try to fix it there and then. If it’s not resolved, email hello@noclue.vc and we’ll work with you to sort it out.
11. Changes to these terms
We may update these terms from time to time. Any change applies to applications and bookings made after the change — it won’t reduce the rights of a place you’ve already confirmed.
12. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you’re a consumer resident elsewhere, you keep the benefit of any mandatory protections of your home country.
