Participation Agreement

Who this agreement is with. This is an agreement between you and noclue Ltd, a company registered in England and Wales (company no. [—], registered office [—]) — “noclue”, “we”, “us”. We organise the expedition and are responsible for it.

1. What you’re joining

noclue is a week-long, in-person expedition for founders. If we offer you a place and you confirm it, you commit to attending your cohort’s dates and taking part in good faith.

The details of your trip — the dates, the location, what’s included, and what isn’t (flights are not included; you arrange your own travel to and from the meeting point) — are set out in the cohort information we send you, which forms part of this agreement.

2. Applying, paying & refunds

Applying. When you apply, you pay a €150 application fee. This pays for us to assess your application. It is refunded in full only if we can’t offer you a place. It is a fee to apply — it is not part of the trip fee, is never deducted from it, and is not returned once we’ve made you an offer.

Confirming your place. If we offer you a place, you confirm it by paying the full trip fee(a one-time fee for this single trip). We’ll present the fee to you at that point and take payment as a separate, active step — we don’t pre-authorise or automatically charge it in advance. Your place is held once we receive payment.

Your cancellation rights.Once you’ve confirmed, the refund and cancellation terms in our Terms apply. Nothing in those terms removes the rights the law gives you — including your right to cancel before the trip (you may need to pay a reasonable and justifiable cancellation fee), your right to cancel without a fee in the kind of exceptional and unavoidable circumstances the Regulations describe, and your right to a full refund if we cancel the trip.

If we can’t run your cohort.If we cancel your cohort — for example because it doesn’t reach minimum numbers, or for reasons beyond our reasonable control — you’ll receive a full refund of the trip fee within 14 days.

3. Health, safety, travel & insurance

Parts of the expedition take place outdoors and off-grid, and some activities carry inherent risks.

You confirm that you’re fit to take part, and that you’ll tell us in advance about any medical condition, allergy or need that could affect your safety or the group’s. You’re responsible for arranging your own travel, valid documentation (passport and any visas), and adequate personal, medical and travel insurance — including cover for the outdoor and mountain activities involved and for emergency medical repatriation.

You agree to follow reasonable safety instructions from the organisers and guides during the week.

4. Conduct

Treat fellow founders, hosts, guides and staff with respect. We may ask anyone to leave whose behaviour endangers others or seriously disrupts or harms the group. Where we remove someone for that reason, we may withhold a refund to the extent that is reasonable and proportionate in the circumstances.

5. Your work & confidentiality

What you build is yours. noclue takes no equity, intellectual property or ownership in your work — full stop.

The expedition depends on founders speaking openly, so anything a participant shares in confidence during the week stays confidential: you agree to keep it private, and so do we and our team. This doesn’t apply to information that is already public, that you already knew, or that you develop or obtain independently.

6. Liability

Some activities carry inherent risk, and you take part on that basis. We remain responsible for performing the package — and for delivering our services — with reasonable care and skill.

Nothing in this agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Subject to that — and except for claims involving personal injury, or loss caused by our intentional wrongdoing or negligence — our total liability to you is limited to three times the trip fee you paid.

This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you’re a consumer resident elsewhere, you keep the benefit of any mandatory legal protections of your home country.

7. Media

We take photos and video during the week, and we’d love to use some in noclue’s marketing.

For footage that identifies you, we’ll ask for your consent. You can say no, and it won’t affect your place or your experience. If you consent now and change your mind later, you can withdraw it by emailing privacy@noclue.vc — we’ll stop using it going forward, though we may not be able to withdraw materials already printed or published. We may use non-identifying footage (for example wide shots where you aren’t the focus) to document the expedition.

We handle your personal data in line with our Privacy Policy. If you have any questions about how we use it, contact us at privacy@noclue.vc.

By applying, you confirm you’ve read and agree to this Participation Agreement.
